THIS AGREEMENT is made among

  1. The President and the Executives of Agrolovers Multipurpose Co-operative Society Limited.
  2. The Shareholders / Investors in Agrolovers Multipurpose Cooperative Society Limited
    a. The Co-operative has invited the shareholders to make an investment into the co-operative (industrial commodity supply) on the terms & conditions set out in this Agreement; and
    b. The Shareholders are willing to make the investment on the terms and conditions set out in this Agreement.


1 Definitions
In this Agreement, the following words and expressions shall, unless the content otherwise requires, have the following meanings:-

“Accounts” means the annual account of the Co-operative during the financial year, including the notes to those accounts and the executives’ report; details will be provided at the end of each financial year;

“The executives” the official principal officers running the administrative affair of the co-operative;

“Business Plan” of the co-operative shall entails purchase and supply of industrial commodities on behalf of members and sharing of dividends (return on investment ) at an agreed date and interval;

“Confidential Information” means information of a confidential or commercially sensitive nature relating to the business operations, financial status or other affairs of the cooperative; the operations of this Co-operative are however classified as being confidential;

“Remuneration” means the aggregate of salary, bonuses, payments in kind, commissions, contributions, profit sharing, incentives and other payments to a person or anyone by reason of that person’s employment or service to the Co-operative;

“Shares” means the ordinary shares or your unit value of every capital you have in the Co-operative;

“Taxation” means all taxes, duties, levies, imposts, penalties, charges and withholding of any nature whatsoever, whether created or imposed in the Federal Republic of Nigeria.

2.1 The executives shall be granted the opportunity to allot shares, determine share price and carryout business transactions on behalf the Co-operative.
2.2 The shareholders shall subscribe for as many shares as he/she deem fit on the terms and conditions hereinafter contained.
2.3 It is obligatory for every member to subscribe for shares at a price determined by the executives
2.4 80% of the profit will be shared every 3months while the remaining 20% will be reinvested or ploughed back into the business. The remaining 20% will be paid as dividend at the end of the financial year during AGM (Annual General Meeting).
2.5 Members can increase their number of shares at any given time after giving a prior notice in writing to the executives of the Co-operative.
2.6 Any member who has counter opinion claims or belief against the Executives should forward his/her queries to the executives for clarification.
2.7 The unit price for the share capital shall be Two Hundred Thousand Naira (#200,000) with Application form of Ten Thousand Naira (#10,000). Other fees for Identity Card, Customized T-shirts & Other incentives shall be determined by the Executives.

4.1 The Co-operative shall be responsible for every cost and expenses incurred in course of discharging Executives’ official duties, business transactions, tax, levies and other expenditures.
4.2 The executives shall keep record of all income and expenditures and make it available to members for reference.
4.3 The financial records or account of the Co-operative shall be made available for the shareholders and we shall provide details of our accounts at the AGM which will be held at the end of every financial year.
4.4 The financial record shall contain income and expenditure, profit and loss account as well as the sharing ratio which will be shared accordingly by all shareholders.

5.1 The Executives hereby warrant to the shareholders that every business transaction carried out on behalf of members shall be carried out in good faith with the interest of the shareholders given utmost priority in terms of profitability and accountability.

6.1 Every shareholder and executive of Agrolovers Multipurpose Co-operative Society Limited must maintain total confidentiality with all the affair as well as business transactions of the Co-operative.
6.2 Activities of the co-operative should not be disclosed with our competitors or general public.

7.1 Any member can terminate his/her membership by writing a notice of withdrawal to the executives with at least 30 working days’ notice.
7.2 Any member who violates any of the information provided in this terms and conditions agreement shall be liable to suspension, fine or as determined by the executives.
